KNOW WHAT COMES NEXT

Start with a conversation, not a stack of documents.

Share the opportunity, the capital question and the timing. The initial conversation helps clarify what further review may involve.

01

Define the request

What are you trying to finance, where is the transaction, and when is capital needed?

02

Discuss readiness

Discuss the records available, known gaps and whether a deeper review makes sense.

03

Agree on the next step

Any further advisory work, document-sharing process, scope and applicable fees are agreed separately.

An initial inquiry or appointment is not a financing approval or a commitment to a full consulting engagement. Lenders and capital providers make their own decisions.

01 / WHAT IS CAPITAL READINESS?

Prepare before
you approach lenders.

For business owners, CRE owners, developers, data center sponsors, acquisition buyers and investors, including borrowers facing maturities or seeking bridge and rescue capital.

Clarify the transaction

Define the loan request, use of proceeds, sources and uses, borrower or sponsor narrative, capital stack and exit strategy.

Organize the evidence

Review document availability, financial organization, data-room structure and the issues that could delay a lender’s review.

Address readiness gaps

Identify missing records, weak assumptions and unresolved financing deficiencies. Agree on practical next steps and who is responsible.

Coordinate where engaged

Support capital strategy, lender matching, lender Q&A, term-sheet comparison and closing coordination within the agreed scope.

02 / THREE READINESS LANES

Start with your transaction.

DATA CENTER & DIGITAL INFRASTRUCTURE

Evidence drives capital readiness.

For developers, owners/operators, sponsors and AI / HPC, colocation or GPU / compute projects seeking construction, acquisition, refinance, expansion, bridge/rescue or recapitalization capital.

Context first. Then documented power, customer/offtake, sponsor capability, site and entitlements, construction readiness, capital stack and exit/takeout. A nearby substation does not establish available power.

COMMERCIAL REAL ESTATE

Make the capital request clear.

CRE financing consulting and capital advisory for refinance, commercial bridge financing, rescue, acquisition, construction/completion, maturities, recapitalization and note or lender buyout situations, where appropriate.

Organize the property and sponsor summaries, rent roll and operating package, sources and uses, debt and maturity/default summary, available valuation, business plan and exit. Owner authority and a viable repayment path matter.

BUSINESS / ACQUISITION

Organize the borrower and acquisition file.

Business acquisition financing consulting may include borrower documentation, the acquisition summary, use of proceeds, financial organization, debt schedule, financing narrative and a deficiency checklist for lender-routing preparation.

Business and SBA-related work follows the applicable lender process and approved engagement scope. A readiness review is not a credit decision or an assurance of SBA eligibility.

SEPARATE EARLY OPPORTUNITY PATH

Have a powered-site signal?

Landowners, brokers, CPAs and advisors can share credible site control, utility studies, power correspondence or documented energization pathways for early site review.

A land signal is not a lender-ready data center request. Site and power diligence remain separate from financing qualification. Regulated Texas brokerage activity uses a properly licensed partner where required.

03 / HOW THE PROCESS WORKS

From context to an organized request.

01

Initial intake

Share the transaction, your role, the capital need and timing. A short summary is enough to start.

02

Readiness assessment

Review the request, available records, borrower or sponsor capability and proposed repayment path.

03

Identify deficiencies

Separate missing documents, unresolved transaction issues and assumptions that need evidence.

04

Organize and address gaps

Agree on the work needed, organize records and coordinate reasonable steps to address deficiencies.

05

Prepare the financing package

Build a clear transaction narrative, sources and uses, document checklist and organized data room, as appropriate to the engagement.

06

Match realistic capital paths

Consider capital-provider fit, structure, transaction stage and current requirements before outreach.

07

Coordinate the lender process

Where engaged, help with lender questions, term-sheet comparison and closing-process coordination.

The work depends on the transaction and engagement. Not every deficiency can be cured, and preparation does not guarantee approval. Scope and any applicable advisory fees are agreed before engagement; paying ITM does not guarantee financing.

04 / CAPITAL STRATEGY

Consider the fit before outreach.

Different needs call for different paths.

Potential paths may include banks, institutional project-finance lenders, private credit, commercial bridge lenders, hard money or direct private lenders, debt funds and equipment / GPU finance. Structured capital, preferred equity, JV capital and selective family-office paths may be considered where appropriate.

ITM continues to develop its capital-source network. Availability depends on current provider mandates, transaction fit and underwriting. No provider endorsement or committed capital is implied.

Professional introductions are welcome.

Brokers, CPAs, capital advisors and infrastructure professionals can bring a defined financing need or a file that needs better organization. Obtain the client’s permission before sharing information and explain your role.

INTERNATIONAL CAPITAL READINESS

Cross-border files need a clear shared story.

Qualified international CRE, infrastructure and data center opportunities may need English and Spanish summaries, bilingual document organization and a defined capital request before outreach. Certified legal translation, when required, uses a qualified third party.

05 / BEFORE YOU START

Common questions.

What should I send first?

Your role, transaction type and location, capital purpose, approximate amount, deadline, available records and known gaps. Do not send tax returns, bank statements or private underwriting files through the initial form.

Is this a financing approval?

No. The review helps identify readiness and potential capital paths. Capital providers decide eligibility, terms and approval. A consultation, package or payment does not guarantee funding.

Can ITM help with a maturity or rescue situation?

Where appropriate, begin with owner authority, current debt, the deadline, property or project performance, sources and uses, and a credible exit. State default or foreclosure issues clearly so they can receive human review.

Does ITM handle every type of engagement?

The scope is agreed for each transaction. Business and SBA-related work follows applicable lender requirements. Equity and other specialized structures require an appropriate engagement and transaction framework.
